Terms & Conditions
The terms behind every quote we send. Plain enough to read before you sign one.
Last updated: 14 October 2026
1. Who these terms are between
These terms are between NADM LTD, trading as Amply Digital (“we”, “us”, “our”), and the client named on the quote or proposal they are attached to (“you”).
Together with that quote, they form the whole agreement between us. Where the quote and these terms disagree, the quote wins. Anything else either of us said beforehand does not form part of the contract unless it is written into the quote.
2. Quotes and scope
Every project is quoted before any work starts. The quote sets out what we are building, what it costs and roughly how long it will take.
Prices shown on this website are starting prices and are not offers. A quote is valid for 30 days and is based on the scope described in it. Work outside that scope is covered in section 6.
3. Fees and payment
- A deposit is payable before work begins. The amount is stated on the quote.
- The balance is payable on completion, before the site goes live.
- On larger projects we may invoice in stages. Those stages are set out on the quote.
- Payment plans are available. If you want one, ask before the project starts and we will put it in writing.
- Invoices are payable within 14 days unless the quote says otherwise.
The price agreed is the price you pay. If something you ask for falls outside what was scoped, we will tell you what it does to the price and the date, and you decide whether to go ahead, before we do the work.
Fees are exclusive of VAT where applicable, and of third-party costs such as domains, hosting, stock imagery, fonts and paid plugins. Those are listed on the quote where we know about them.
On late payment we may suspend work and, under the Late Payment of Commercial Debts (Interest) Act 1998, charge statutory interest at 8% above the Bank of England base rate together with reasonable recovery costs.
4. What we need from you
Projects run to time when the material arrives on time. We will tell you what we need and when. That usually means copy, images, logos, access to any existing site or hosting, and a named person who can approve work.
If we are waiting on you for more than 30 days we may invoice for the work completed to that point and reschedule the rest. We will always ask before doing that.
You confirm that anything you give us is yours to use, and that it does not infringe anyone else’s rights. We rely on that, and we are not liable for claims arising from material you supply.
5. Timescales
The date on the quote is the date we are working to, and we will tell you early if something moves. Dates assume your feedback and material arrive when agreed, and are not guaranteed where they do not.
6. Changes and revisions
The quote includes rounds of revision at the design and build stages. Changes within the agreed scope are included.
A change to the scope is quoted separately and agreed in writing before we start it. That covers new pages, new functionality, and a direction already signed off being reversed.
7. Who owns what
You own the finished site. On receipt of final payment, all intellectual property in the designs, code and content we produce for you transfers to you. That includes the domain, the hosting account and the source code. There is no licence to keep paying for and nothing that stops you moving it elsewhere.
Three things sit outside that:
- Third-party material, meaning fonts, stock images, plugins and platforms such as WordPress or Shopify, remains with its owner and is licensed to you on that owner’s terms.
- Our own tools, including anything we had before the project and any general technique or component we reuse across clients, stays ours. You get a perpetual licence to use it as part of your site.
- Work not paid for stays ours until it is.
8. Hosting, maintenance and support
Where the quote includes support after launch, the period is stated on it. Support covers fixing things that are not working as built. It does not cover new features, new content or changes of direction, which are quoted as new work.
Hosting and maintenance are separate ongoing services with their own terms, set out when you take them. Either of us can end an ongoing arrangement with 30 days’ notice. If you leave, we will help you move: the site is yours.
We are not responsible for third-party outages, nor for problems caused by changes made to the site by somebody else after handover.
9. Search performance
We build sites to be found: structure, speed and content decided with search in mind. We cannot guarantee rankings, traffic or enquiries, because nobody controls search engines. Any figure we discuss is an expectation based on experience, not a promise.
10. Training and handover
Where the quote includes it, we run a training session at handover and record it, so you can edit the site without coming back to us.
11. Showing the work
We may show the finished site in our portfolio, in case studies and on social media, and include a credit link in the footer. Tell us if you would rather we did not and we will not. We will never publish anything you have told us is confidential.
12. Confidentiality
Each of us will keep the other’s confidential information to ourselves, and use it only for the project. This does not apply to information that is already public or that we are required to disclose by law.
13. Cancellation
You can cancel a project at any time in writing. You pay for work completed up to that point, and the deposit is not refundable, because it holds the time in our schedule.
We may end a project if fees go unpaid, if we are left waiting on you beyond a reasonable period, or if the working relationship breaks down. In that case you pay for work completed and we hand over what you have paid for.
14. Liability
We do not exclude liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded.
Otherwise our total liability in connection with a project is limited to the fees you have paid us for it. We are not liable for loss of profit, loss of business, loss of data or any indirect or consequential loss.
These terms are offered on a business-to-business basis. Nothing in them affects the statutory rights of a consumer.
15. Things outside our control
Neither of us is liable for delay or failure caused by something genuinely beyond our control. If it goes on for more than 60 days, either of us can end the contract and you pay for work completed.
16. Governing law
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them.
